Welcome to the Delaware Secretary of State’s M&A Unclaimed Property VDA Program (the “Program”), a targeted VDA process designed exclusively for Holders to complete during the due diligence phase of any merger or acquisition. If you are not in the pre or mid deal phase of a merger or acquisition, please refer to the traditional Delaware Unclaimed Property VDA Program webpage: VDA Program – State of Delaware.
Below are the necessary forms and instructions to enroll and successfully complete the Program. The goal of the Program is to identify past due unclaimed property due and payable to Delaware prior to the merger or acquisition closing such that the State will establish a cap on successor liability. This will help inform materiality of any past due unclaimed property liability for all parties. Please contact the Department of State if you have any questions.
